Terms of Service

1. Acceptance of Terms

By downloading, accessing, or using the SHIMY mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

SHIMY is operated by SHIMY, Inc., a Delaware corporation ("SHIMY," "we," "us," or "our").

You acknowledge that SHIMY is not designed for recordkeeping, evidence preservation, or long-term communication. Content posted and messages sent on SHIMY are ephemeral by design and will be permanently deleted in accordance with these Terms.

2. License to Use the App

Subject to your compliance with these Terms, SHIMY grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App for your personal, non-commercial use. You may not sublicense, sell, resell, transfer, assign, or otherwise exploit the App. You may not reverse engineer, decompile, or disassemble the App. Your use of the App must comply with all applicable laws and the terms of your device's app store.

3. Eligibility

You must be at least 18 years of age to use SHIMY. By using the App, you represent and warrant that you are 18 or older. We use a third-party identity verification provider to verify the age and identity of users prior to granting access. Any account found to belong to a user under 18 will be immediately terminated.

4. Account & Identity Verification

To use SHIMY, you must complete identity verification using a valid government-issued ID and a real-time selfie. This process is handled by our verification provider, Persona. By completing verification, you confirm that:

  • The identification you submit is your own and is valid and unaltered.
  • The selfie you submit is a real-time image of yourself.
  • You are not impersonating any other person.
  • Providing false identity information is a violation of these Terms and may result in permanent account termination and, where applicable, referral to law enforcement.

5. The SHIMY Platform

SHIMY is a real-time, location-based social connection app. Core features include:

  • Selfie posts: You may post a real-time selfie visible to users within a defined proximity. Posts expire after 3 hours. You are limited to a maximum of 2-3 posts per day.
  • Responses (Shimmys): Nearby users may respond to your post with their own selfie. You may respond to posts from others.
  • Matches: When a poster approves a response, a match is created. Both users gain access to a time-limited chat window.
  • Chat: Matched users may chat for up to 24 hours. After 24 hours, the chat window expires and messages are deleted from active systems.
  • Shimy AI companion: An AI-powered companion character available in the Chats tab, powered by a third-party language model API.

6. User Conduct

You agree that you will not use SHIMY to:

  • Post images of anyone other than yourself.
  • Post materially misleading or deceptive images.
  • Impersonate any person or entity.
  • Harass, threaten, bully, or intimidate other users.
  • Send unsolicited explicit or sexual content.
  • Post or transmit content that is defamatory, obscene, or illegal.
  • Solicit money, goods, or services from other users.
  • Engage in any commercial activity or advertising.
  • Attempt to circumvent age verification or location systems.
  • Use automated tools, bots, or scripts to interact with the App.
  • Collect or harvest other users' information.
  • Reverse engineer, decompile, or tamper with the App.
  • Engage in any activity that disrupts or interferes with the App.
  • Violations may result in immediate account suspension or permanent termination.

7. Content You Post

You retain ownership of the content you post on SHIMY. By posting content, you grant SHIMY, Inc. a limited, non-exclusive, royalty-free license to store, display, and transmit your content solely as necessary to operate the App. This license terminates when your content is deleted in accordance with our data retention practices.

You are solely responsible for the content you post. You represent and warrant that your content does not violate any applicable law or third-party rights.

8. Ephemeral Content

SHIMY is designed around ephemeral interactions and minimal data retention. Posts expire after 3 hours. Chat messages expire after 24 hours. Expired content is deleted from our active systems. You acknowledge and agree that you should not rely on SHIMY to store or preserve any content you post or messages you send. Residual copies may persist temporarily in backup systems before being fully purged.

9. User Safety & Offline Interactions

SHIMY does not conduct criminal background checks and makes no representations about the character, intentions, or identity of any user beyond age and identity verification. You are solely responsible for your interactions with other users, including any decision to meet in person. Exercise caution when interacting with people you meet through the App. SHIMY is not responsible for the conduct of any user on or off the platform.

10. Shimy AI Companion

The Shimy AI companion is an entertainment and engagement feature powered by a third-party large language model. Shimy is not a human. Shimy is not a licensed counselor, therapist, or mental health professional. Conversations with Shimy are not confidential in the same manner as communications with a licensed professional. Do not rely on Shimy for medical, legal, financial, or mental health advice. We are not responsible for any actions taken based on Shimy's responses. If you are experiencing a mental health crisis, please contact a qualified professional or crisis service immediately (Crisis Text Line: text HOME to 741741).

11. Prohibited Content

The following content is strictly prohibited on SHIMY:

  • Nudity or sexual content of any kind.
  • Content depicting or promoting violence.
  • Hate speech targeting any individual or group.
  • Content that exploits, endangers, or sexualizes minors in any way.
  • Content that facilitates illegal activity.
  • Spam or misleading content.
  • We reserve the right to remove any content that violates these Terms without notice.

12. Copyright & DMCA

SHIMY respects intellectual property rights. If you believe that content on the App infringes your copyright, please send a written notice to legal@shimy.app including:

  • A description of the copyrighted work you claim has been infringed.
  • A description of where the allegedly infringing content appears in the App.
  • Your contact information.
  • A statement that you have a good faith belief that the use is not authorized.
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
  • We will respond to valid DMCA notices promptly and take appropriate action, which may include removal of the content and termination of repeat infringers' accounts.

13. Reporting & Enforcement

If you encounter content or behavior that violates these Terms, please report it through the in-app reporting feature. We take reports seriously and will investigate promptly. We reserve the right to suspend or terminate any account, with or without notice, at our sole discretion for violations of these Terms.

14. Intellectual Property

All rights, title, and interest in the SHIMY App, including the Shimy mascot and character, brand assets, design, and technology, are owned by SHIMY, Inc. You may not reproduce, modify, distribute, or create derivative works from any SHIMY intellectual property without our express written permission.

15. Service Availability

We may modify, suspend, or discontinue the App or any feature at any time, with or without notice, without liability to you. We do not guarantee that the App will be available at all times or in all locations.

16. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT CONDUCT CRIMINAL BACKGROUND CHECKS AND MAKE NO REPRESENTATIONS ABOUT THE CHARACTER OR INTENTIONS OF OTHER USERS.

YOUR USE OF THE APP AND ANY INTERACTIONS WITH OTHER USERS ARE AT YOUR OWN RISK. PLEASE EXERCISE CAUTION WHEN MEETING PEOPLE IN PERSON.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHIMY, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED $100.

18. Indemnification

You agree to indemnify, defend, and hold harmless SHIMY, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the App, your content, or your violation of these Terms.

19. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Arbitration Opt-Out: You may opt out of the arbitration agreement by notifying us in writing at legal@shimy.app within 30 days of first accepting these Terms. Your opt-out notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts of the State of Delaware.

20. Assignment

We may assign or transfer these Terms, in whole or in part, without restriction. You may not assign your rights or obligations under these Terms without our prior written consent.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SHIMY, Inc. with respect to the App and supersede all prior agreements and understandings.

22. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through the App. Your continued use of the App after changes are posted constitutes your acceptance of the updated Terms.

23. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason at our sole discretion. You may delete your account at any time through the App settings. Upon termination, your data will be deleted in accordance with our Privacy Policy.
